These Terms of Service ("Terms") govern your access to and use of Sentinel Relay (the "Service"), operated by Sentinel Relay ("we", "us"), a sole-trader business established in the United Arab Emirates. By using the Service you agree to these Terms. If you do not agree, do not use the Service.
The Service is operated by Sentinel Relay, Al Ain, Abu Dhabi, United Arab Emirates. You can contact us at any time at [email protected]. This is also the address for legal notices and for the privacy requests described in our Privacy Policy.
Sentinel Relay is a business-to-business analytics platform for talent agencies that manage online content creators. It collects and presents performance metrics for the creators an agency represents, produces reports, growth estimates, valuations and payout calculations, sends notifications the agency configures, and provides an optional portal in which a creator can view their own figures. The Service is intended for use by agencies and by the creators they represent. It is not a consumer social product.
We may suspend access immediately where we reasonably believe continued use would breach these Terms, harm other users, or breach a platform's terms or the law.
The Service integrates third-party platform APIs and depends on their availability. We are not responsible for third-party platforms, their content, their terms or their continued operation, and features may change or stop working if a platform changes its API. Data obtained through an authorised connection is used only to provide the Service to the agency the creator is linked to, as described in our Privacy Policy.
Where the Service accesses a creator's own account data, it does so only after that creator grants permission through the platform's own authorisation flow, and only with read access. A creator may withdraw that permission at any time, in the Service or through the platform's own settings.
By using features that access YouTube API Services, you agree to be bound by the YouTube Terms of Service.
By using features that access TikTok data through TikTok's APIs, you agree to be bound by the TikTok Terms of Service, and you acknowledge that TikTok's handling of your data is governed by the TikTok Privacy Policy. TikTok data made available to you through the Service may be used only to operate your creator program, and may not be re-sold, redistributed, used to build a separate dataset, or used for advertising targeting.
Paid features are provided according to your subscription tier. Fees, billing arrangements and access to premium features are as agreed with us, and premium features may be enabled or disabled per agency. Payout figures the Service calculates are estimates produced from the rates you configure; they are not invoices, financial advice, or a determination of what you owe a creator, and you remain responsible for what you actually pay.
You keep all rights in the data you submit. You grant us only the licence needed to host, process and display that data in order to operate the Service for you. The Service itself, including its software, design and documentation, remains our property; nothing in these Terms transfers any of our intellectual property to you.
You may stop using the Service at any time and may ask us to close your account. We may suspend or terminate access for breach of these Terms, misuse, or non-payment. On termination we will delete or return your data in line with the retention periods in our Privacy Policy; some records may be retained where the law requires it.
The Service is provided "as is" and "as available". Analytics, valuations, growth predictions, sentiment scores and payout calculations are estimates derived from platform data and configured rates. They are not guarantees, and they are not financial, legal or tax advice. You should not rely on them as your only basis for a commercial decision. We do not warrant that the Service will be uninterrupted or error-free, or that platform data will always be complete or current.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, or lost or corrupted data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
You agree to indemnify us against claims, losses and reasonable costs arising from your use of the Service in breach of these Terms or applicable law, including claims that data you submitted or connected infringed a third party's rights or was provided without the necessary consent.
These Terms are governed by the laws of the United Arab Emirates. The courts of the United Arab Emirates have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. If you are a consumer, this does not remove any protection you have under the mandatory law of your country of residence.
We may update these Terms. Where a change materially reduces your rights or increases your obligations we will give reasonable advance notice in the Service or by email before it takes effect. Continued use after a change takes effect constitutes acceptance of the updated version. The "last updated" date above always reflects the current version.
If any provision of these Terms is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the Service, on notice to you.
